Advised a syndicate of international lenders on senior secured loans totaling $750 million to fund three SPVs in Azerbaijan. The financing supported the development, construction, and operation of:
- A 445 MWac solar photovoltaic power plant in Bilasuvar,
- A 315 MWac solar photovoltaic power plant in Banka,
- A 240 MWac onshore wind power plant in Gobustan.
Served as local counsel for foreign lenders, including EBRD, ADB, ADFD, and JICA, in a secured project financing for Azerbaijan’s pilot solar energy project led by Masdar Energy.
Acted as local counsel for foreign lenders, including EBRD and OPEC Fund, providing legal support for the financing of ACWA Power’s pilot wind energy project in Azerbaijan.
Delivered a detailed due diligence report for IFC regarding Azerbaijan’s first major PPP initiative, the Baku Desalination Project. This landmark infrastructure development addresses critical water supply needs under the newly enacted PPP law.
Advised EBRD and international consultants on Azerbaijani law and regulatory matters related to renewable energy production, auction rules, and legal frameworks. Advising a UAE-based client on a potential acquisition of shares in a Saudi Arabian listed company operating in the retail/commerce sector of Azerbaijan/conducting comprehensive due diligences of local entities of the seller (Targets). The Target’s operations in Azerbaijan are mainly opening and operating retail shops, which includes entering into licensing/franchising agreements with foreign brands (Zara, Bershka, Massimo Dutu and others ) to sell their products in Azerbaijan, and leasing property to open retail shops.
Supported senior lenders in the financing of the Baku-Tbilisi-Ceyhan oil export pipeline, offering extensive due diligence on regulatory regimes, land acquisitions, and security documentation.
Advised HypoVereinsbank on financing the construction of two 11-km pipelines connecting the Azertrans marine terminal to the BTC pipeline. Services included regulatory guidance, drafting agreements, and advising on land title matters.
